These Terms of Service ("Terms") govern your access to and use of the Flowmate website (the "Site") and any products or services available on or through the Site (collectively, the "Services"). The Services are owned and operated by Flowmate Australia ("Flowmate," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Services.
Use of the Services
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are prohibited from using the Services in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Services. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Services.
Intellectual Property
The Services and their original content, features, and functionality are owned by Flowmate and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
User Accounts
In order to access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password.
Payment Terms
All orders placed through Flowmate Australia are subject to the following payment terms unless otherwise agreed in writing:
Approved trade and wholesale customers may be granted 30-day net payment terms (“Net 30”), meaning full payment is due 30 days from the invoice date.
Flowmate reserves the right to approve, decline, suspend, or revoke credit terms at its sole discretion.
Any overdue amounts may, at Flowmate’s discretion:
incur interest at a rate of 2% per month (or the maximum permitted by law); and/or
result in suspension of further supply until the account is brought up to date.
The customer agrees that Flowmate may withhold or cancel any pending orders if payment terms are not adhered to.
All goods supplied remain the property of Flowmate until paid for in full.
Limitation of Liability
In no event shall Flowmate, its affiliates, or their respective officers, directors, employees, or agents be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages, including lost profit damages arising from your use of the Services.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of [State/Country] without regard to its conflict of law provisions.
Changes to Terms
Flowmate reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
